Hindmarsh is seeking an experienced corporate lawyer to join our Corporate team as Senior Corporate Lawyer – Corporate & Company Secretariat. Reporting to the General Counsel, you’ll run company secretarial matters for a group of entities, support property development and project finance transactions, and act as the AML/CTF Compliance Officer for our funds management business.

This is a broad, hands-on in-house role where you’ll run matters end to end with a high level of autonomy. You’ll advise senior management and the board directly, and oversee risk and compliance across our construction, development and retirement businesses.

Reporting to the General Counsel, you will be responsible for:

  • Managing company secretarial functions for a group of entities, including ASIC lodgements, registers and annual reviews
  • Preparing board and shareholder meeting papers, resolutions and minutes
  • Overseeing entity establishment, constitutions, deregistrations, officeholder changes and group structure records
  • Advising on licensing, governance frameworks, delegations of authority and board policies
  • Working with the General Counsel and external advisers on development projects, from site acquisition through to completion and sell-down
  • Drafting and negotiating development, project finance and ancillary agreements, including facility agreements, security documents, intercreditor arrangements and guarantees
  • Acting as AML/CTF Compliance Officer and carrying out the functions of that role
  • Advising on AFSL obligations, responsible entity duties and ASIC regulatory compliance
  • Supporting capital raisings, investor onboarding and fund restructures
  • Managing engagement with external counsel, banks and regulators

We are looking for team members who have:

  • Admission as a lawyer in NSW (or eligibility for admission), with a current NSW practising certificate
  • 7+ years’ post-admission experience with a top-tier or mid-tier law firm, or in-house in a comparable role
  • Strong knowledge of the Corporations Act 2001 (Cth) and the PPSA
  • Experience with AFSL holders, responsible entities or ASIC-regulated fund managers
  • Experience in property development and banking and finance transactions
  • Confidence advising senior executives and boards
  • Excellent drafting, negotiation and stakeholder management skills
  • The ability to manage multiple matters at once and deliver to tight deadlines
  • A Governance Institute of Australia qualification or postgraduate study in law, finance or property (highly regarded)
