About the role

This is a broad and highly visible governance role, providing company secretariat and corporate governance support across a complex group of entities. You will work closely with Boards, Board Committees, CEOs, senior executives and other key stakeholders, playing a key role in ensuring strong governance practices and regulatory compliance across the organisation.

Key responsibilities

  • Act as Company Secretary for a number of group entities, ensuring compliance with the Corporations Act and relevant governance requirements.

  • Provide high-quality company secretariat support to Boards and Committees, including agenda development, Board papers, meeting coordination, minute taking and action tracking.

  • Act as a key liaison between Boards, Committees, Management and senior executives.

  • Provide practical advice to Boards and management on corporate governance, company law and governance best practice.

  • Develop, review and maintain governance frameworks, including Charters, policies, delegations, registers and accountability documents.

  • Monitor compliance with corporate governance requirements, identify gaps and drive continuous improvement initiatives.

  • Support Board effectiveness reviews, director inductions and the recruitment of new Directors and Committee Chairs.

  • Coordinate director professional development and continuing education programs across governance and regulatory topics.

  • Manage ASIC filings and maintain corporate and statutory registers.

  • Lead and mentor a small team, fostering a high-performance and collaborative culture.

About you

  • 5+ years' experience in company secretarial and broader corporate governance roles within an Australian listed or unlisted organisation.

  • Experience within financial services, insurance or another highly regulated environment will be highly regarded.

  • A relevant governance qualification from the Governance Institute of Australia or similar professional body.

  • Strong knowledge of Australian company law and corporate governance obligations.

  • Demonstrated experience supporting Boards and Committees, including Board papers, agendas, minutes and governance processes.

  • Strong communication, influencing and stakeholder management skills.

  • The ability to build trusted relationships with Directors, CEOs, executives and senior stakeholders.

  • Exceptional attention to detail and a high standard of written communication.

  • Strong judgement and discretion when dealing with sensitive and complex matters.

  • A proactive approach to identifying opportunities to improve governance frameworks and processes.
